1. Introduction

• Mandatory Processes: You agree to provide all requested information necessary for Know Your Customer (KYC) and Anti-Money Laundering (AML) compliance. This may include, but is not limited to, proof of identity, proof of address, and other documentation as required by applicable laws.
• Verification: NeoVC may use third-party service providers to verify your identity and validate your information. By registering for an account, you expressly authorize NeoVC and its third-party service providers to collect and process your personal data for KYC and AML verification purposes.
• Refusal or Termination: If you fail to provide accurate and complete information or if we suspect illegal activity, fraud, or any violation of our Terms or applicable law, we reserve the right to refuse, suspend, or terminate your access to the Services.

4. License & Use of Services

Limited License: Subject to your compliance with these Terms, NeoVC grants you a non-exclusive, non-transferable, revocable license to access and use the Services for legitimate and lawful purposes.

Prohibited Conduct: You must not:

• Use the Services for any unlawful, deceptive, or fraudulent activities.
• Interfere with or disrupt any aspect of the Services, including servers, networks, or security mechanisms.
• Collect or harvest any information from other users without their explicit consent.
• Engage in any conduct that violates third-party rights or these Terms.

5. User-Submitted Content

Ownership & Responsibility: You retain ownership of any data, text, images, or other content ("User Content") you provide to the Services. You represent and warrant that you have all necessary rights to grant NeoVC the license set forth in these Terms.

License to NeoVC: By uploading or posting User Content, you grant NeoVC a worldwide, non-exclusive, royalty-free license to use, reproduce, display, distribute, and prepare derivative works of your User Content for the sole purpose of providing and improving our Services.

User Conduct & Misinformation: NeoVC is not responsible for any User Content, including its legality, accuracy, or reliability. You alone are responsible for any claims that may arise from your User Content. NeoVC disclaims all liability for any losses or damages arising from user-generated misinformation or misrepresentation.

6. Authorization to Use Data to Provide Services

Explicit Consent: By using the Services, you expressly authorize NeoVC to collect, process, and use your data (including Personal Data, as defined in our Privacy & Security Policy) to provide, maintain, optimize, and improve the Services, including personalized user experiences, customer support, analytics, and compliance checks.

Withdrawal of Consent: Where processing is based on consent, you have the right to withdraw your consent at any time by contacting us at support@neovc.ai. However, withdrawing consent may limit or prevent your ability to use certain features of our Services.

7. Bans, Suspensions, & Terminations

Right to Ban: We reserve the right, at our sole discretion, to ban or restrict any user from accessing the Services if they violate these Terms or engage in conduct that we determine may harm our Services, our users, or third parties.

Investigation: We may investigate suspected violations of these Terms and may cooperate with law enforcement authorities or third parties to prosecute users who violate the law.

Effect of Termination: Upon termination of your access to the Services, any licenses granted hereunder immediately terminate. However, certain obligations, including provisions relating to intellectual property, limitations of liability, and indemnity, shall survive.

8. Disclaimer of Warranties

As Is & As Available: NeoVC provides the Services on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

No Liability for User Actions: NeoVC will not be liable for any damages, liabilities, or legal consequences resulting from your use of—or reliance on—information provided by other users on the platform.

No Financial, Investment, or Legal Advice: NeoVC does not provide financial, investment, or legal advice, and nothing on our platform should be construed as such.

9. Limitation of Liability

Indirect Damages: To the fullest extent permitted by law, NeoVC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with these Terms or your use of the Services.

Aggregate Liability: In no event shall NeoVC's aggregate liability exceed the fees (if any) paid by you to NeoVC for accessing or using the Services in the twelve (12) months preceding the event giving rise to the liability.

Local Law Exceptions: Certain jurisdictions do not allow the exclusion or limitation of certain liabilities. In such jurisdictions, the above limitations shall apply to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless NeoVC, its affiliates, officers, directors, employees, and agents from all claims, damages, expenses, losses, and liabilities (including attorney fees) arising out of or related to:

• Your use of the Services.
• Your violation of these Terms or any applicable law.
• Your misrepresentation or the inaccuracy of User Content you submit or share through the Services.

11. Governing Law & Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of Chile, without regard to conflict-of-law principles.

Dispute Resolution: Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration or submitted to the exclusive jurisdiction of the competent courts located in Santiago, Chile, unless otherwise required by applicable law.

12. Changes to These Terms

NeoVC may modify these Terms from time to time at its sole discretion. The "Last Updated" date at the top of this document indicates when the latest modifications were made. Your continued use of the Services after any such changes become effective constitutes your acceptance of the new Terms.

13. Miscellaneous

Entire Agreement: These Terms, together with the NeoVC Data Privacy & Security Policy (incorporated by reference), constitute the entire agreement between you and NeoVC and supersede any prior agreements.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

No Waiver: No failure or delay in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right or any other right under these Terms.

NeoVC Data Privacy & Security Policy
